*There are two ways to do this, and most employers who ask the question want the second one. Here is what each involves, why one of them is harder than it looks, and how to run the other without changing a single thing about payroll.*

Block Rewards Research · blockrewards.com · 11 min read

| **Two models** Paying wages in bitcoin, or saving in bitcoin from pay | **531.27** The wage-payment rule that decides which one is practical | **1 to 2 days** Typical time to launch a payroll savings benefit |
| --- | --- | --- |

**Start by Deciding Which of Two Things You Actually Mean**

“Pay employees in bitcoin” describes two completely different arrangements. They have different mechanics, different legal profiles, and different answers to almost every question that follows. Picking the wrong one is the most expensive mistake in this category, so it is worth thirty seconds up front.

**Model A: paying wages in bitcoin.** The employer settles some portion of an employee’s pay by transferring bitcoin instead of dollars. The wage itself changes form.

**Model B: bitcoin savings through payroll.** The employee is paid their full wages in dollars, exactly as before, and separately authorizes a voluntary after-tax deduction that buys bitcoin on their behalf. The wage never changes form.

Most employers asking this question picture Model A and actually want Model B. They want their people to be able to build bitcoin savings automatically, without the company taking on currency risk, custody, or a new category of wage-and-hour exposure.

This guide covers both. Model A gets an honest explanation of why it is hard. Model B gets the step-by-step, because that is the one most employers can implement this quarter.

**Why Model A Is Harder Than It Looks**

The tax treatment is settled and has been for over a decade. Under IRS Notice 2014-21, virtual currency is property, and where an employer pays wages in virtual currency the fair market value in dollars on the date of receipt is wages. That amount is subject to federal income tax withholding, FICA and FUTA, and it is reported on the W-2. Nothing exotic.

The problem is not tax. It is whether bitcoin is a lawful *method* of paying a wage, which is a separate question under separate law.

Under the Fair Labor Standards Act, the regulation at **29 CFR 531.27** requires that minimum wage and overtime be paid in cash or a negotiable instrument payable at par. That has long been read to mean currency backed by a government. In 2022 the Department of Labor was asked directly whether cryptocurrency qualifies. It restated the rule and declined to comment further, and that silence has not been resolved since.

State law is usually the harder constraint. Many states require wages to be paid in US currency or a check convertible to it at face value, among them California, Washington, Georgia, Maryland, Delaware, Pennsylvania, Michigan, New Jersey, Texas and Illinois. California’s Labor Code section 212 is the sharpest illustration: it bars payment in instruments not payable in money, and practitioners read it to mean that any fee an employee must pay to access the value is itself a problem. That is structural. It cannot be fixed with a consent form.

| **Where most counsel land** Pay all wages in US dollars. Compensation above what the FLSA requires, such as a discretionary bonus, sits on better footing than base pay, but the general advice is to keep the wage itself in currency and accomplish the bitcoin objective somewhere else. |
| --- |

If you are determined to pursue Model A, the next conversation is with employment counsel in every state where you have staff, not with a vendor.

**Why Model B Avoids All of That**

A payroll savings deduction changes the legal analysis because it changes the facts. The employee is paid their full wages in dollars. Withholding, FICA and FUTA are calculated and remitted on those dollars in the ordinary way. The W-2 is unchanged. Nothing about the wage has become property.

Separately, the employee authorizes an after-tax deduction from net pay, which a provider uses to buy bitcoin for their account. Economically this is the same as the employee moving money to a brokerage after payday. The difference is that it happens automatically, which is the entire reason it works.

- **No wage-payment question.** Wages were paid in cash. The deduction happens after the wage obligation is satisfied.
- **No new tax characterization.** The employee buys an asset with dollars that have already been taxed. Their cost basis is what they paid.
- **No company exposure to the asset.** The employer never buys, holds or custodies bitcoin, and it never touches the balance sheet.
- **Familiar mechanics.** It runs as a deduction line, the same way a stock purchase plan or supplemental insurance does.

**What You Need Before You Start**

A short list, and most employers already have all of it.

- Your existing payroll system, whichever it is. No migration is required.
- The ability to add an after-tax deduction code, which every major platform supports.
- A decision on who pays the per-employee fee: the company, the participant, or a split.
- A written employee authorization for the deduction, meeting the requirements of each state where you employ people.
- Ten minutes of your payroll administrator’s time, once.

You do not need a crypto policy, a treasury position, a new bank, or board approval for a balance-sheet allocation. None of those are involved.

**Step by Step: Setting It Up**

1. **Enable the benefit.** The provider verifies your company and sets up the employer account. Nothing changes in payroll yet.
2. **Decide who pays the fee.** The Bitcoin Savings Plan is priced per participating employee per month. Employers can absorb it as a benefit line or pass it to participants. There is no setup fee, no minimum headcount and no contract term, so this decision is reversible.
3. **Add the deduction code.** Your payroll administrator creates one after-tax deduction. This is the only change to your payroll configuration.
4. **Communicate and open enrollment.** This step matters more than the technical ones. Employees need to see, in plain language and before they contribute a dollar, that bitcoin is volatile, that the balance can fall, that it is not insured, and that it is not a substitute for an emergency fund or a retirement match.
5. **Employees choose a percentage.** Enrollment is opt-in by design. Each participant selects what share of pay to contribute and completes identity verification with the provider. Nobody is defaulted in.
6. **Run payroll as usual.** On each pay date the deduction comes out of net pay, the provider buys bitcoin at the prevailing price, and it is credited to the employee’s account and held with a qualified custodian.
7. **Reconcile and report.** You receive records for every transaction. Employees can withdraw at any time, including after they leave.

Most employers are live in one to two days, because the first three steps are the only ones that touch systems.

**What Employees Actually Experience**

A percentage choice at enrollment, then nothing. Bitcoin accumulates every payday without further action.

Automaticity is doing most of the work here. It is also the honest answer to “why not just tell employees to buy it themselves.” They can. Most will not do it consistently, for the same reason most people do not save consistently without payroll deduction. The saving happens before the money reaches the checking account, so it does not compete with everything else the money could do.

**Scaling It Without Creating Problems**

| **Area** | **What to get right** |
| --- | --- |
| Classification | Employees and contractors sit under different regimes. Confirm which population the benefit is offered to. |
| Multiple jurisdictions | Payroll deduction rules are state-specific. Confirm your authorization language covers every state where you employ people. |
| Written policy | Eligibility, contribution limits, how to change or stop a contribution, and what happens on termination. |
| Approvals | Decide who can change the deduction and how changes are evidenced, the same as any other voluntary deduction. |
| Annual review | Revisit enrollment materials, fee arrangement and provider records once a year. |

The one piece of diligence not to skip is provider licensing. In the United States, converting dollars to bitcoin for someone else is money transmission, which generally requires FinCEN registration as a money services business and state-by-state money transmitter licensing. Ask any provider for their registration number and the list of states they are licensed in, then compare that list to where you actually employ people. A provider licensed in thirty states cannot serve your employees in the other twenty.

**Common Problems, and How to Avoid Them**

**The balance falls and an employee is upset.** This will happen. Clear enrollment disclosure, a sensible contribution cap and complete transaction records are the three things that make the conversation manageable. Decide in advance that this risk is acceptable, or do not offer it.

**Someone treats it as retirement savings.** It is not, and the enrollment materials should say so. The order of operations we recommend out loud: capture the full employer retirement match first, build a cash emergency fund second, and only then consider a volatile asset, in an amount a fifty percent drawdown would not change.

**Participation is low and it looks like a failure.** An opt-in benefit with modest uptake is working as designed. The value is that it exists for the people who want it, not that everyone enrolls.

**The fee reduces someone below minimum wage.** Check this before launch if any of your workforce is near the floor. It is the one mechanical issue that can turn a benefit into a wage-and-hour problem.

**The Short Version**

If you want to pay wages in bitcoin, talk to employment counsel first, because federal and state wage-payment rules make it difficult and most advisers steer away from it for base pay.

If what you actually want is for your people to build bitcoin savings automatically, that is a payroll deduction. Wages stay in dollars, your W-2 does not change, your company never holds the asset, and you can be running it this week.

Most employers who ask the first question want the second answer.
